Terms and Conditions of Use Agreement

PLEASE READ THE TERMS AND CONDITIONS OF USE CAREFULLY BEFORE USING THIS SITE.  Selected features of this site are free to all newly registered users for 7 days during a free 7-day trial period.  Content contributing users are considered “investors” and will enjoy free access with the regular submission of approved content i.e. (video lessons, article, images, workshops, webinars, etc). Premium subscribers who are not investors and wish to use the site for general professional purposes only will be provided access for an auto-billed monthly rate of $9.99.  Premium subscribers will have access to website exclusive content that is owned by Teachers Grow, LLC (The Site) as well as all other content.  The Site provides a free service of access to an organized search of catalog links to content from 3rd Party sites at no charge to you. All subscribers will have access to content found on other 3rd Party websites at no charge.  

By using The Site, you the user are agreeing to comply with and be bound by the following terms of use.  After reviewing the following terms and conditions thoroughly, if you do not agree to the terms and conditions, please do not use The Site.   You may elect to agree or disagree with the terms.  You will not receive access to The Site if you disagree with the terms and conditions of use.

Acceptance of Agreement.  

You agree to the terms and conditions outlined in this Terms and Conditions of use Agreement (Agreement) with respect to our site (The Site).  This Agreement constitutes the entire and only agreement between us and you.  This Agreement may be amended by us at any time and at any frequency without specific notice to you.  The latest Agreement will be posted on the Site, and you should review this Agreement prior to using the sight.
Copyright.  The content, organization, graphics, design, and other matters related to the site are protected under applicable copyrights and other proprietary laws, including but not limited to intellectual property laws.  The copying, reproduction, use, modification or publication by you of any such matters or any part of the Site is strictly prohibited, without our expressed prior written permission.


Deleting and Modification.  We reserve the right in our sole discretion, without any obligation and without any notice requirement to you, to edit or delete any documents, information or other content appearing on the Site, including this Agreement. 

 

Indemnification.  You agree to indemnify, defend and hold us, our officer, our shareholders, our partners, attorneys, technology developers, employees and other clients harmless from any and all liability, loss, damages, claim and expense, including reasonable attorney’s fees, related to your violation of this Agreement or use of The Site. 
Teachers Grow assumes no liability for advice, suggestions, or information provided to the user that may cause harm to any individual.  You agree to indemnify and hold Teachers Grow harmless from any demands, loss, liability, claims or expenses (including attorneys’ fees), made against them by any third party due to, or arising out of, or in connection with your use of the website or any of the services offered on the website.

Limits.  All responsibility or liability for any damages caused by viruses contained within the electronic file containing the form or document is disclaimed.  We will not be liable to you for any incidental, special or consequential damages of any kind that may result from use of or inability to use The Site.


Third-Party Websites.  All rules, terms and conditions, other policies (including privacy policies) and operating procedures of third-party linked websites will apply to you while on or using such websites. We do not charge a fee for access to third party websites.  We are not responsible for the content, accuracy or opinions express in such Websites, and such Websites are not investigated, monitored or checked for accuracy and completeness by us.  Inclusion of any linked Website on our Site does not imply approval or endorsement of the linked Website by us unless listed on our pre-approved list of written consent to use content list which is listed on The Site.  The Site and the third-party linked websites are independent entities and neither party has authority to make any representations or commitments on behalf of the other.  If you decide to leave our Site and access these third-party linked sites, you do so at your own risk.


Third-Party Products and Services.  We use/advertise third-party linked websites from which you may purchase or otherwise obtain certain goods, content, offers, freebies, discounts and services.  You understand that we do not operate or control the products, free offerings, or services offered by third party websites. Third party linked websites are responsible for all aspects of ordering processing, fulfillment, billing and customer service.  We are not a party to the transactions entered into between you and third party linked websites. You agree that use of such third-party linked websites is at your sole risk and is without warranties of any kind by us, expressed or implied otherwise.  Under no circumstances are we liable for any damages, charges, law-suits, copyright infringements arising from the transactions between you and a third-party linked website or for any information appearing on the third party linked websites or any other site linked to or from our site. It is recommended that contributing subscribers who wish to upload content from 3rd Party websites acquire consent for use of owner/publisher content prior to uploading to the Site.  The Site will not be held liable for your use of content from a Third Party site without there permission. 


Submissions.  All video clips, photos, lesson plans, forms, suggestions, ideas, notes, concepts and other information you may send to us (collectively “Submissions”) exclusive of content from other websites and internet content that is available for free, shall be deemed and shall remain our sole property and shall not be subject to any obligation of confidence on our part. Refer to PRIVACY LAWS. Without limiting the foregoing, we shall be deemed to own all known and hereafter existing rights of every kind and nature regarding the Submissions and shall be entitled to unrestricted use of the Submissions for any purpose, without compensation to the provider of the Submissions. Teachers Grow reserves the right to determine what is appropriate for use.  See 10. Appropriate Content Upload below.  Teachers Grow deems all useable content submitted by users to be donated contributions for the sole purpose of providing professional development and contributing to the educational field. This content may or may not become the property of Teachers Grow for professional use. Teachers Grow will not compensate providers of submissions for content and or intellectual property or advice, and/or for consultations and/or advice, suggestions for best practices provided. Teachers Grow assumes no liability for advice, suggestions, or information provided to the user that may cause harm to any individual.  The Site reserves the right to edit Submissions for professional visual and sound quality and for any reason that it deems necessary.  Serving as a portal, The Site collects teaching videos and provides access to “model” lessons for the sole purpose of professional development for teachers.  Any use other than it’s intended purpose can result in loss of membership without refund and/or lawsuit at violator’s expense.    Videos may be reviewed for visual and sound quality as well adherence to submission Requirement Guidelines. Teachers Grow is an advocate for children and families.  In accordance with child privacy laws, it is required that teachers follow their local district, school community rules with acquiring proper parental media release forms and are asked to conceal children’s identity on videos whenever possible.  Please film children with backs facing camera or film close up angles of materials in use only.  Children’s faces MUST be blurred. Videos with children’s faces shown must be edited and may result in upload delay on website.  Teachers Grow assumes no liability for video submissions of all persons or likenesses without their personal or parental consent (for minors).  Violation of this policy will result in cancellation of membership without refund.  Users are strongly encouraged to have building administrator’s permission and preview submissions prior to submitting them to The Site.  The Site will not be held responsible or accountable to for submissions deemed misrepresentative of the user’s employer’s mission, appropriateness and/or definition or idea of “model” teaching.  The Site will solely regard its own submission requirements and definitions when considering submissions for use on The Site.  
Professional Forums – Social media communities are used on The Site as an option to subscribers. If users chose to join a community and have a public profile that is publicly visible to site visitors, and that their public activity (such as their posts or comments) will be visible to other visitors of the website.  The user of the website can always opt-out and exit the community, and upon doing so, such user’s profile will not be publicly visible. Naturally, in such event the user will not be able to use the community features (e.g. liking, commenting or writing posts).  Teachers Grow will monitor The Site on a regular basis to minimize and eliminate inappropriate content but assumes no liability for harm to individuals associated with use or misuse of these professional forums. The forums are solely intended for Teachers Grow user professional development purposes.

 

Debates and discussions with Teachers Grow Support team members is fine, however we will not tolerate the following: 
Posts (including tickets, replies, text, images, videos, user names and/or any other content published in Teachers Grow Hereby: "posts") that are insulting and provocative by nature.
Personal attacks, name calling and discriminatory remarks.
Making unfounded allegations (slander).
Posts contesting Teachers Grow policies.
Publicly lobbying against Teachers Grow actions and policies.
Duplicate tickets and multiple or repeated posts.
Posts that are sexual in nature, discriminatory, harmful, threatening, abusive, defamatory, obscene, hateful, racially or ethnically offensive.


Posts that contain sexually explicit remarks or excessive obscene or vulgar language.
Posts which discuss or illustrate illegal activity such as software and music piracy or other intellectual property violations.
Links to sites that contain any of the aforementioned (A – I).
Teachers Grow reserves the right to remove any posts/ tickets that violates these terms of use without warning or explanation. Teachers Grow reserves the right to ban anyone who willfully violates these terms of use. The Teachers Grow team shall be the sole arbitrator of what does and what does not violate these terms of use. Teachers Grow reserves the right to take any actions we deem appropriate to ensure the forums are not disrupted or abused in any way. 
 
Disclaimer
All posts and user submissions reflect the views of individual participants only. The Site bears no responsibility for accuracy of members' comments and posts and will bear no legal liability for discussion results.

Publisher Permission. You recognize and agree that by uploading any content (including, but not limited to designs, images, animations, videos, audio files, fonts, logos, illustrations, compositions, artworks, interfaces, text and literary works) through any means to the website, you confirm that you own all the relevant rights or received the appropriate license to upload/transfer/send the content. You agree and consent that the uploaded/transferred content may be publicly displayed at the website.


Appropriate Content Upload.   The Site serves as a global network and portal for sharing professional ideas, images, recordings for professional purposes.  Teachers Grow subscribers can upload appropriate images from computer, social networks, or other Third party sites using a URL with publishers permission.  A list of pre-approved publishers is on The Site.  Teachers Grow will monitor The Site on a regular basis in an effort to minimize and eliminate inappropriate content.  Teachers Grow retains the right to remove any abusive content hosted on The Site at its sole and absolute discretion and with no obligation to provide explanations.


Types of content which could lead to an abuse complaint being filed against you include, but are not limited to: 
Defamation of character: Also referred to as slander. Any intentional false claims made about another person, business, product, group, government, religion or nation. This also includes hate speech, as well as libel.
Phishing methods: An attempt to gather private or sensitive information, such as usernames, passwords or credit card details.


Content Promoting Self-Harm: This includes, but it not limited to, content glorifying any type of self-harm such as suicide, eating disorders or cutting. This does not include sites created to act as a support system or create awareness.
Electronic Spamming: The use of electronic messaging systems to send unsolicited, and often repeated, messages, usually for marketing purposes. 
 
General.  In order to use The Site and/or receive our services, you must be at least 18 years of age, or of the legal age of majority in your jurisdiction, and possess the legal authority, right and freedom to enter into these Terms as a binding agreement. You are not allowed to use this website and/or receive services if doing so is prohibited in your country or under any law or regulation applicable to you. The Site was designed to be a form of professional development to have a positive effect on a user’s ability to improve skill levels of implementing lessons, quality of teaching and/or implementing best practices.  It is intended to support, develop and enhance teacher classroom practice. We recognize that this unprecedented level of access into a colleague’s learning environment, practices, etc.  This must be considered and respected as a privilege.  Teachers Grow is here to be an advocate for developing teachers and any form of abuse of this privilege will NOT be tolerated. Users must read the Guidelines regarding same before registering for a subscription to use The Site.  Any visitor found in violation of the privileges for use with this site may be subject to immediate termination of access to the site without notice and/or refund.  All users will be held accountable to maintain positive and professional levels of respect, discretion, and confidentiality after observing a peer’s lesson on The Site.  Any visitor found in violation of this privilege may be subject to immediate termination of access to the site without notice and/or refund.  Sharing passwords is prohibited and can be monitored via user IP address. Doing so will render user in violation of this agreement and account can be terminated without notice and/or refund.


Intellectual property. The Service and all materials therein or transferred thereby, including, without limitation, software, images, text, graphics, logos, patents, trademarks, service marks, copyrights, photographs, audio, videos, music and all Intellectual Property Rights related thereto, are the exclusive property of Teachers Grow. Except as explicitly provided herein, nothing in these Terms shall be deemed to create a license in or under any such Intellectual Property Rights, and you agree not to sell, license, rent, modify, distribute, copy, reproduce, transmit, publicly display, publicly perform, publish, adapt, edit or create derivative works thereof.


Advertising & Solicitation. Advertising on the forum isn't allowed. This includes affiliate and referral links; advertisements or notices for competitions; promotion or solicitation for any products, services, funds or donations. This rule applies to all messaging or commenting tools offered by the forum.
We have a zero tolerance anti-spam policy. Spammers' forum access will be revoked and all their posts (including legitimate posts) will be removed. Our decision on these matters is final.
Law. This sight is controlled by Teachers Grow, LLC. in the state of Delaware, USA.  As such, the laws of DE will govern the terms and conditions contained in this Agreement and elsewhere throughout the Site, without giving effect to any principles of conflicts of laws. 


Termination of Use and Changes. We may, without prior notice, change the services, subscription fees; stop providing the services or any features of the services we offer; or create limits for the services. We may permanently or temporarily terminate or suspend access to the services without notice and liability for any reason, or for no reason. We may permanently or temporarily terminate or suspend your access to the service without notice and liability for any reason, including if in our sole determination you violate any provision of these Terms or any applicable law or regulations. You may discontinue use and request to cancel your account and/or any services at any time. Notwithstanding anything to the contrary in the foregoing, with respect to automatically-renewed subscriptions to paid services, such subscriptions will be discontinued only upon the expiration of the respective period for which you have already made payment.
We reserve the right to modify these terms from time to time at our sole discretion. Therefore, you should review these pages periodically. When we change the Terms in a material manner, we will notify you that material changes have been made to the Terms. Your continued use of the Website or our service after any such change constitutes your acceptance of the new Terms. If you do not agree to any of these terms or any future version of the Terms, do not use or access (or continue to access) the website or the service.


Limitation of Liability. To the maximum extent permitted by applicable law, in no event shall Teachers Grow, be liable for any indirect, punitive, incidental, special, consequential or exemplary damages, including without limitation, damages for loss of profits, goodwill, use, data or other intangible losses, arising out of or relating to the use of, or inability to use, the service. 
To the maximum extent permitted by applicable law, Teachers Grow assumes no liability or responsibility for any (i) errors, mistakes, or inaccuracies of content; (ii) personal injury or property damage, of any nature whatsoever, resulting from your access to or use of our service; and (iii) any unauthorized access to or use of our secure servers and/or any and all personal information stored therein.

One of the greatest resources teachers have is each other. Collaboration and sharing has proven to contribute to our success, development and growth.  Such growth can be stunted by isolation and holding onto inhibitors.  Growth depends on having the professional courage to believe and invest in yourself enough to breakthrough a comfort zone while learning newer and better ways of benefiting children as they learn and grow.  Until this happens, the students we care for and teach can only grow as far as we have grown ourselves.  We owe it to ourselves and our students to never stop growing.
